When creating your document, include the following sections:
1. Parties
State the full names and business addresses of both the client and the painter.
2. Payment and Services
Describe the painting services clearly. Include:
- Areas to be painted
- Number of coats
- Prep and cleanup
- Products to be used (brand, finish, color)
Then, explain the payment terms:
- Hourly rate or fixed fee
- Commission (if any)
- Payment schedule (upon completion, weekly, etc.)
- Completion deadline
3. Term
Define when the agreement starts and how it can be ended. Reasons for early termination can include violations of terms or exposing the other party to risk.
4. Expenses
Clarify who is responsible for costs like materials, equipment, taxes, or insurance.If the client will reimburse expenses, explain how and when.
5. Liability Insurance
Specify if insurance is required and the minimum amount. The painter takes responsibility for their team and actions.
6. Termination Clauses
List the conditions for ending the agreement:
- Completion of services
- A specific end date
- Termination with or without cause
7. Independent Contractor Status
Reaffirm that the painter is not an employee. They control how the work is done and can work with other clients.
8. Business Licenses, Permits, and Certificates
The painter must have all required certifications or permits to complete the job.
9. Taxes and Benefits
The painter is responsible for paying all applicable taxes and benefits for themselves and any employees.
10. Indemnification
The painter agrees to protect the client from liability linked to the painting services.
11. Confidentiality Agreement
The painter must keep client information private, including plans, customer lists, and any materials marked confidential.
12. Governing Law
Mention the state law that governs the agreement.
13. Additional Terms and Conditions
Any other terms agreed between both parties.
14. Entire Agreement
States that the written agreement includes all terms and overrides any previous verbal or written discussions.
